Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and identity360.global ("Company," "we," "us," or "our") governing your access to and use of our biometric identity verification platform, services, and APIs (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our Services.

1. Service Description

identity360.global provides enterprise-grade biometric identity verification services including:

  • Facial, fingerprint, palm, and iris biometric authentication
  • Identity document verification (OCR and NFC)
  • Liveness detection and anti-spoofing technology
  • ABIS (Automated Biometric Identification System) for 1:1 and 1:N matching
  • Digital identity wallets and verifiable credentials

Services are provided on a subscription or usage-based licensing model as detailed in your commercial agreement.

2. Acceptable Use

You agree to use our Services only for lawful purposes and in compliance with these Terms. You may not:

  • Use Services for surveillance, profiling, or discriminatory purposes
  • Process biometric data without proper consent or legal basis
  • Reverse engineer, decompile, or attempt to extract source code
  • Circumvent security measures or conduct penetration testing without authorization
  • Resell or sublicense Services without written permission
  • Use Services in violation of export controls or sanctions
3. Data Processing & Compliance

As a data processor, we process biometric data on your behalf according to your instructions and applicable data protection laws. You, as data controller, are responsible for:

  • Obtaining valid consent or establishing legal basis for biometric processing
  • Providing required privacy notices to data subjects
  • Ensuring compliance with GDPR, CCPA, BIPA, and other applicable regulations
  • Implementing appropriate data protection impact assessments (DPIAs)
  • Responding to data subject rights requests

Detailed data processing terms are outlined in our Data Processing Agreement (DPA).

4. Service Level Agreement (SLA)

We commit to maintaining service availability and performance standards:

  • Uptime: 99.9% monthly uptime for production environments (excludes scheduled maintenance)
  • Response Time: API response times under 2 seconds for 95th percentile
  • Support: 24/7 technical support for enterprise customers with defined response times

SLA credits and remedies for service failures are detailed in your commercial agreement.

5. Intellectual Property

All intellectual property rights in our Services, including software, algorithms, documentation, and branding, remain exclusively owned by identity360.global. Your license to use Services does not transfer any ownership rights.

You retain all rights to your data and content. We claim no ownership over biometric data or identity information processed through our platform.

6. Warranties & Disclaimers

We warrant that Services will perform substantially in accordance with documentation. However, biometric systems are probabilistic and cannot guarantee 100% accuracy. We disclaim warranties regarding:

  • Absolute prevention of identity fraud or spoofing attacks
  • Compatibility with all devices and operating systems
  • Uninterrupted or error-free operation
  • Third-party integrations or services
7. Limitation of Liability

To the maximum extent permitted by law, our liability is limited to direct damages not exceeding fees paid in the 12 months preceding the claim. We are not liable for:

  • Indirect, consequential, or punitive damages
  • Loss of profits, data, or business opportunities
  • Third-party claims arising from your use of Services
  • Force majeure events beyond our reasonable control
8. Indemnification

You agree to indemnify and hold us harmless from claims arising from: (a) your use of Services in violation of these Terms; (b) your failure to obtain proper consent for biometric processing; (c) your violation of applicable laws or regulations; (d) infringement of third-party rights.

9. Term & Termination

These Terms remain in effect until terminated. We may suspend or terminate your access immediately for: (a) material breach of Terms; (b) non-payment of fees; (c) illegal or harmful activities; (d) threats to platform security or integrity.

Upon termination, you must cease using Services and may request data export within 30 days. We will securely delete your data according to our retention policies.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of [Jurisdiction] without regard to conflict of law principles. Disputes will be resolved through binding arbitration, except you may bring claims in small claims court.

For EU customers, mandatory consumer protection laws of your country of residence apply where applicable.

11. Changes to Terms

We may modify these Terms with 30 days' notice for material changes. Continued use of Services after modifications constitutes acceptance. If you disagree with changes, you may terminate your account.
